Item 5.02. Departure of Directors or Certain Officers; Election of
Directors; Appointment of Certain Officers; Compensatory
Arrangements of Certain Officers.
On June 23, 2022, Kapiljeet Dargan notified CVR GP, LLC (the
“Company”), the general partner of CVR Partners, LP (the
“Partnership”), of his resignation from service as a member of the
Board of Directors (the “Board”) of the Company and the committees
of the Board on which he served, including the Compensation
Committee and the Special Committee (collectively, the
“Committees”), effective immediately. The resignation of Mr. Dargan
from the Board and the Committees was for personal reasons and not
the result of any disagreements with the Company, the Partnership
or any of their directors, officers or employees. On June 28, 2022,
the Board reduced the size of the Board from seven to six
directors.
