Item 3.02 Unregistered Sales of Equity Securities.
On August 2, 2022, China Green Agriculture, Inc. (the
“Company”) completed the issuance of 1,117,142 shares of its Common Stock to P Kevin
HODL Ltd for $16,757,130.
This sale was made pursuant to a Share Purchase Agreement
dated November 23, 2021 (the “SPA”) in transactions exempt from registration under the Securities Act of 1933, as amended
(the “Securities Act”), in reliance on an exemption provided by Rule 903 of Regulation S and/or Section 4(a)(2) of the Securities
Act.
