Item 5.02 Departure of Directors or Certain Officers; Election of
Directors; Appointment of Certain Officers; Compensatory
Arrangements of Certain Officers.
Changes to the Board of Directors
On January 2, 2023, the Board increased its size to twelve (12)
directors and appointed Lubomira Rochet as a member of the Board,
effective as of January 2, 2023, with a term expiring at the 2023
annual meeting of the Company’s stockholders and until her
successor is duly elected and qualified. No decision has been made
with respect to the naming of Ms. Rochet to any committees of the
Board. She will participate in the compensation arrangements for
non-employee directors as described in the Company’s Proxy
Statement filed with the Commission on September 22,
2022.
There are no arrangements or understandings between Ms. Rochet and
any other persons pursuant to which she was appointed as director.
There are no transactions in which Ms. Rochet has an interest
requiring disclosure under Item 404(a) of Regulation
S-K.

attached to this Current Report on Form 8-K as Exhibit 99.1.
