Item 4.01 Changes in Registrant’s Certifying Accountant.
Engagement of New Independent Registered Public Accounting Firm
On November 16, 2023, the Audit Committee of the Board of Directors of Waitr Holdings Inc. (the “Company”), appointed Pannell Kerr Forster of Texas, P.C. (“PKF”) to serve as the Company’s independent registered public accounting firm, effective immediately, for the fiscal year ending December 31, 2023.
During our two most recent fiscal years and through the appointment of PKF on November 16, 2023, neither we nor anyone on our behalf consulted PKF regarding (i) the application of accounting principles to a specified transaction, either completed or proposed, or the type of audit opinion that might be rendered on our consolidated financial statements, and no written report or oral advice was provided by PKF to us that PKF concluded was an important factor considered by us in reaching a decision as to the accounting, auditing or financial reporting issue, or (ii) any matter that was either the subject of a disagreement (as described in Item 304(a)(1)(iv) of Regulation S-K and the related instructions) or a reportable event (as described in Item 304(a)(1)(v) of Regulation S-K).
