NorthWest Copper Files Final Base Shelf Prospectus

NorthWest Copper Corp. ("
NorthWest Copper" or the
"
Company") (TSXV:NWST) today announced that it has
filed and obtained a receipt for a final short form base shelf
prospectus (the “
Base Shelf Prospectus”). The Base
Shelf Prospectus was filed with the securities regulatory
authorities in each of the provinces and territories of Canada
(other than Québec).
The Base Shelf Prospectus permits the Company to
make offerings of common shares, warrants, subscription receipts,
or units, or a combination thereof (the
“Securities”), up to an aggregate total of C$50
million during the 25-month period that the Base Shelf Prospectus
remains effective, until July 2025. Securities may be offered in
amounts, at prices and on terms to be determined based on market
conditions at the time of sale and set forth in one or more shelf
prospectus supplement(s). Information regarding the use of proceeds
from a sale of any Securities will be included in the applicable
prospectus supplement(s).
The Base Shelf Prospectus, a normal course
financing mechanism, provides the Company with financial
flexibility and the capability to access capital markets quickly,
when available, to fund its ongoing capital needs over the next two
years. Among other things, the Company may consider issuing
Securities using the Base Shelf Prospectus to fund a
potential 2023 exploration and drilling program on
its Lorraine and Kwanika-Stardust Projects in British
Columbia.
NorthWest Copper also continues to prioritize
engagement with First Nations and local communities to ensure its
work is conducted in an environmentally and culturally respectful
manner and to provide employment and economic opportunities through
the exploration stages.
