Re:Mothercare plc, Disclosure of Interest in Shares

Mothercare plc announces that it has today been advised by M&G Investment
Management Limited that Prudential plc and certain of its subsidiary companies
("Prudential plc") have decreased their notifiable interest in the share capital
of Mothercare plc to 9,893,072 Mothercare plc Ordinary 50p shares equivalent to
13.97% of the issued share capital. Within this total, M&G Group Ltd holds
9,890,239 shares or 13.97%. The previously notified interest of Prudential plc
was in respect of 10,598,811 Ordinary 50p shares comprising 14.99% of the then
issued share capital.
