ICM STRENGTHENS POSITION IN IT SUPPORT WITH ACQUISITION OF ITM SUPPORT SERVICES
ICM Computer Group plc ("ICM"), the UK's leading provider of IT Assurance,
comprising IT Support, IT Solutions and Business Continuity services, has
acquired ITM Support Services, the IBM Support division of ITM Group Limited,
for an initial consideration of #3.5 million in cash. In addition, deferred
consideration of up to #3.0 million is payable based on contract renewals and
new business wins from existing prospects over the next 12 months.
ITM Support Services is a leading independent provider of support for IBM
mid-range IT systems. It employs 48 staff and has some 500 customers throughout
the UK ranging from mid-sized companies and professional firms to larger
corporates.
The acquisition significantly enhances ICM's capability in the mid-sized IT
Support market, increasing the existing customer base and enabling the Group to
extend its IT Assurance strategy.
The acquisition is being funded from ICM's existing banking facilities and is
expected to be earnings enhancing in the first full financial year following the
acquisition.
ICM's IT Support division encompasses hardware and software support, helpdesk,
remote network management, hosting and outsourcing of IT departments. The
business is based entirely on long term ongoing contracts, typically of between
one and three years duration. The division generated revenues of #27.8 million
in the year to 30 June 2003, an increase of 12% on the prior year.
In the year ended 31 December 2001, ITM Support Services reported a loss before
tax of #0.2 million on revenues of #5.7 million. Net assets at 31 December 2001
were #1.2 million.

"We are delighted to have acquired ITM Support Services, which will complement
and enhance ICM's existing services to users of IBM mid-range systems. This is
an important step in the development of our IT Support activities and our
overall IT Assurance strategy for mid-sized customers.
"The ITM business provides us with critical mass in the IBM mid-range IT support
market and the unit will work within our IT Support division - enabling us to
also benefit from economies of scale. We expect this acquisition to be earnings
enhancing in the next financial year."
