Cancellation of Convertible Loan Stock/Notes


The Directors of Bartercard are pleased to announce that they have today
cancelled all the outstanding convertible loan stock/notes held by Montgomery
Equity Partners LP (Montgomery) for a consideration of #250,000 payable in cash
by Bartercard.  This payment will be met from Bartercard's internal resources.

This cancellation means that Bartercard no longer has any obligation to issue
Ordinary Shares to Montgomery.

Commenting on the cancellation Wayne Sharpe, Executive Chairman of Bartercard,
said

" I am delighted that we have concluded this agreement with Montgomery, since it
means that we are no longer under any obligation to issue shares at below the
current market price".
