Appointment of Non-Executive Director


The Board of Bartercard PLC is pleased to announce the appointment of Mr Keith
Smith as a non-executive director. Keith was until recently a senior corporate
finance director of the Company's nominated adviser Nabarro Wells & Co. Limited.


Keith Ramsay Smith, aged 68, is a Fellow of the Securities Institute, a Fellow
of the Chartered Institute of Management, a former Associate of the Institute of
Investment Management and Research, and is co-author of "The Alternative
Investment Market Handbook".  He began his career on the London Stock Exchange
in 1955, becoming a Member of the London Stock Exchange in 1963, and a partner
in a broking firm in 1968.  He has been an arbitrage dealer, institutional
salesman, private client and institutional fund manager and corporate financier.
He has been finance partner, senior partner and chief executive of a number of
broking businesses. He is, and has been, a director of a number of public and
private companies and is currently the senior non-executive director of S&U Plc,
a FTSE 350 company and chairman of its remuneration committee; he is Chairman of
Aspen Clean Energy plc.


Mr Smith has a beneficial interest in 100,000 Ordinary Shares in Bartercard PLC
which are held in a self invested pension plan.


Mr Smith will be invited to become the chairman of the corporate governance
committee.  He will also be invited to join the remuneration committee and audit
committees.
