COURT CONFIRMATION OF CAPITAL REDUCTION 
 
 
Liberty  International is pleased to announce that  the High Court of Justice in 
England and Wales has today made an order confirming the cancellation of Liberty 
International's share premium account in connection with the demerger of Capital 
& Counties. 
 
The  Liberty International Reduction  of Capital will  become effective upon the 
Court's  order  being  delivered  to  the  Registrar of Companies in England and 
Wales,  which is expected to take place  on Friday 7 May 2010, at which time the 
Demerger will become unconditional. 
 
Liberty  International is also  expected to change  its name to Capital Shopping 
Centres  Group after the Demerger becomes  unconditional. Trading of the Liberty 
International  Ordinary  Shares  under  the  name  Capital  Shopping  Centres is 
expected  to commence on  Monday 10 May 2010 under  LSE code CSCG  and under JSE 
code CSO. 
 
The  Capital & Counties Ordinary Shares will begin trading on the LSE on a "when 
issued" basis on Monday 10 May 2010 under LSE code CAPC. Dealings in the Capital 
&  Counties Ordinary Shares on the LSE  on Monday 10 May 2010 and Tuesday 11 May 
2010 will  settle on Monday 17 May 2010. The  Capital & Counties Ordinary Shares 
will begin trading on the JSE on Monday 10 May 2010 under JSE code CCO. 
 
A  detailed timetable of events  for the Demerger is  set out in the circular to 
shareholders  dated  12 March  2010 ("Circular").  A  summary  of  the  expected 
timetable is set out in Appendix A. 
 
Capitalised  terms used in this announcement shall  have the same meanings as in 
the Circular.

(1  )Dealings on the London stock Exchange in Capital & Counties Ordinary Shares 
will commence at 8.00 a.m. on Monday 10 May 2010 on a "when issued basis" until 
UK Admission. Dealings carried out on a "when issued basis" are in respect of 
securities which are subject to an application for listing or trading which are 
entered into before, and conditional upon, listing or trading becoming 
effective. If UK Admission does not occur before 8.00 a.m. on Monday 17 May 
2010, all dealings made in Capital & Counties Ordinary Shares on the London 
Stock Exchange will be of no effect. Such dealings will be at the sole risk of
