RESULTS OF SCRIP DIVIDEND ELECTION - 2022 FINAL DIVIDEND

Scrip Scheme elections were received in respect of 100,197,630 shares representing a take up of approximately 25% of the Company's share capital. This will result in the issue of 2,176,083 new ordinary shares (approximately 0.54% of the current issued share capital). These shares will be issued at a price of 938.80 pence each (this being the Scrip Reference Share Price announced on 21 April 2023). These shares will rank pari passu in all respects with the Company's existing issued ordinary shares.

Applications will be made to the UK Financial Conduct Authority for these shares to be admitted to the Premium Segment of the Official List and to the London Stock Exchange for these shares to be admitted to trading on the Main Market for listed securities. It is expected that admission will occur on 26 May 2023.

Following the issue of these shares, the total number of shares in issue and voting rights in the Company will be 402,522,880 with effect from 26 May 2023. This may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the UK Financial Conduct Authority's Disclosure Guidance and Transparency Rules.

Share certificates will be posted to certificated shareholders who elected for scrip dividend shares and shareholders holding shares in CREST, who elected for scrip dividend shares, will have their CREST accounts credited directly on 26 May 2023.
