(1) (1) These securities are owned directly by Kulayba, LLC, which is wholly-owned by Morris Bawabeh. The reporting persons disclaim beneficial ownership of these securities except to the extent of their pecuniary interest therein. This filing shall not be deemed an admission that the reporting person is, for purpose of Section 16 of the Securities Exchange Act of 1934 or otherwise, the beneficial owner of any equity securities covered by this filing.
(2) (2) The two reported transactions involved an amendment of an outstanding warrant to extend the expiration date, resulting in the deemed cancellation of the "old" warrant and the grant of a replacement warrant. The warrant was originally granted on February 5, 2021.
