Gibbs and Dandy plc (the "Company")

Results of Extraordinary General Meeting and separate class meetings

The directors of the Company are pleased to announce that at the Extraordinary
General Meeting, the Ordinary Class Meeting and the Non-Voting 'A' Class Meeting
held earlier today, all of the resolutions proposed, including those to approve
the Enfranchisement Proposals, the Bonus Issue and to authorise the Company to
make market purchases of up to 1,507,850 Ordinary Shares, were duly passed.

It is expected that admission of the New Ordinary Shares and the Redesignated
Ordinary Shares to the UK Listing Authority will become effective and that
dealings in such shares on the London Stock Exchange will commence on 20 April
2004.

(The expressions in this announcement, unless the context otherwise requires,
shall have the same meanings as in the Listing Particulars of the Company dated
26 March 2004.)
