                   RESULTS OF THE OPEN OFFER, PLACING AND EGM



RESULTS OF THE OPEN OFFER AND THE PLACING


The Open Offer closed at 11a.m on 24 September 2007.  Valid applications have
been received under the Open Offer in respect of 21,894,271 Offer Shares.


The Open Offer forms part of the Fundraising which also comprises a Placing.
43,620,673 Offer Shares have been Placed through Ellis Stockbrokers, the
Company's broker.


A total of 65,514,944 Offer Shares are being issued pursuant to the Fundraising.
The Fundraising remains conditional on admission of the New Ordinary Shares ("
Admission") and it is expected that Admission and dealings in the 65,514,944 New
Ordinary Shares will commence on AIM at 8 a.m. on 26 September 2007.



RESULTS OF EGM


At the Extraordinary General Meeting of the Company held earlier today,
shareholders approved the following:


*   the Waiver of Rule 9 of the Takeover Code; and

*   the authority for the directors to allot relevant securities for the
    purposes of the fundraising and the disapplication of pre-emption rights.



Accordingly, all resolutions which were set out in the Notice of Extraordinary
General Meeting were duly passed.



TOTAL VOTING RIGHTS


Following the Open Offer and the Placing and in conformity with the Financial
Services Authority's Disclosure and Transparency Rules, Griffin gives notice
that its voting capital consists of:

Ordinary Shares    Nominal Value       #        Ordinary Shares held in Treasury

109,191,573            0.1p       109,191.57                -

As Griffin does not hold any ordinary shares in Treasury its total number of
voting rights equals its capital.

The above figure may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to notify their
interest in, or a change to their interest in, Griffin under the FSA's
Disclosure and Transparency Rules.


Certain terms used in this announcement are defined and have the same meaning as
in the Company's circular dated 31 August 2007, unless the context requires
otherwise.
