Issue of Equity

Marwyn Management Partners is pleased to announce a placing (the "Placing") of 10,144,000 Ordinary Shares of 1 pence in the capital of the Company ("Ordinary Shares")(the "Placing Shares") at a price of 4.25 pence (the "Placing Price") to raise approximately GBP 0.4 million before expenses.

The Placing Price represents a discount of 5.6% to the closing middle-market price of the Company's Ordinary Shares on 14 July 2014. The Placing Shares will, when issued, represent approximately 2.1% of the enlarged issued share capital of the Company. The net proceeds of the Placing will be used by the Company for general working capital purposes.

The Placing is conditional, inter alia, upon the placing agreement entered into between the Company and WH Ireland Limited becoming or being declared unconditional in all respects and not having been terminated in accordance with its terms prior to Admission; and Admission becoming effective by no later than 8:00 a.m. on 18 July 2014 or such later time and/or date (being no later than 8:00 a.m. on 1 August 2014) as WH Ireland and the Company may agree.

The Placing Shares will be issued free of all liens, charges and encumbrances and will, when issued and fully paid, rank pari passu in all respects with the existing ordinary shares, including the right to receive all dividends and other distributions declared, made or paid after the date of their issue.

Application has been made to the London Stock Exchange for the admission of the Placing Shares to trading on AIM ("Admission"). It is expected that Admission will occur and that dealings will commence at 8.00 a.m. on 18 July 2014, at which time it is also expected that the Placing Shares will be enabled for settlement in CREST.

Total Voting Rights

Following Admission, the Company's enlarged issued share capital will comprise 473,220,658 Ordinary Shares. From Admission, this figure of 473,220,658 Ordinary Shares may be used by Shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.
