Issue of Convertible Loan Notes and Warrants

Oxus Gold plc is pleased to announce that on 3 November 2015 it issued zero coupon unsecured convertible loan notes with a par value of GBP100,000 to Darwin Capital Limited ("Darwin"), pursuant to the placing and underwriting agreement with Darwin announced by the Company on 6 October 2015.

Darwin has also been issued with warrants to subscribe for 196,319 ordinary shares of the Company, exercisable at a price of 5.09 pence per share up until 3 November 2020.
