( 1)  Each Restricted Stock Unit ("RSU") represents a contingent right to receive one (1) share of the Issuer's Common Stock (or, at the election of Journal Register Company, a cash amount equal to the fair market value of such share). The RSUs are accompanied by dividend equivalent rights.
( 2)  The RSUs will expire upon settlement.
( 3)  The RSUs vest in three equal annual installments beginning on June 1, 2008.
( 4)  The RSUs vest in three equal annual installments beginning on October 1, 2008.
