Minutes of the Board of Directors Meeting held on January 30, 2024

 

DATE, TIME AND PLACE: On January 30, 2024, at 6 p.m by conference call, the Board of Directors of Banco Santander (Brasil) S.A. (“Company” or “Santander”) have met, with the attendance of all of its members.

 

CALL NOTICE AND NOTICE: The call was waived in view of the attendance of all members of the Board of Directors.

 

MEETING BOARD: Deborah Stern Vieitas, Chairman. Daniel Pareto, Secretary.

 

AGENDA: Approve the Management Report and the Company's Financial Statements in accordance with BRGAAP and the Prudential Conglomerate’s Financial Statements for the fourth quarter and fiscal year of 2023, accompanied by the notes and unqualified report issued by PricewaterhouseCoopers Auditores Independentes, according to the Management Proposal and to the favorably recommendation of the Audit Committee.

 

RESOLUTIONS: After review and discussion of the agenda, the members of the Board of Directors unanimously and without restriction voted to approve the Management Report and the Company's Financial Statements in accordance with BRGAAP and the Prudential Conglomerate’s Financial Statements for the fourth quarter and the fiscal year ended on December 31, 2023, accompanied by the notes and unqualified report issued by PricewaterhouseCoopers Auditores Independentes, according to the Management Proposal and to the favorably recommendation of the Audit Committee.

 

ADJOURNMENT: There being no further matters to be resolved, the Meeting was finalized, and these minutes have been prepared and send to be electronically signed by the attendees.
