( 1)  These shares are held by the Marjolaine Townsend Trust of 1996, of which Mr. Townsend's wife is the sole trustee and beneficiary and of which Mr. Townsend has shared investment power. Mr. Townsend disclaims beneficial ownership of these shares, and the filing of this report is not an admission that the reporting person is the beneficial owner of these securities for purposes of Section 16 or for any other purpose.
( 2)  These shares are held by the Townsend Family Investment Co., LLC, of which Mr. Townsend owns a majority of the member interests and is the sole manager. Mr. Townsend disclaims beneficial ownership of the portion of these shares in which he has no pecuniary interest, and the filing of this report is not an admission that the reporting person is the beneficial owner of these securities for purposes of Section 16 or for any other purpose.
