Officers; Compensatory Arrangements of Certain Officers.

On October 29, 2018, the
Compensation Committee of the Board of Directors of GlobalSCAPE, Inc. (the “Company”) amended the Company’s 2016
Employee Long-Term Equity Incentive Plan (the “2016 Plan”) to increase the maximum annual award limit to any one employee
from 250,000 shares to 350,000 shares. The foregoing description of the 2016 Plan amendment is qualified in its entirety by reference
to the full text of the plan amendment, which is filed as Exhibit 10.1 to this Current Report on Form 8-K and is incorporated by
reference herein.
