MIDLAND, Texas, April 5 /PRNewswire-FirstCall/ -- Cap Rock Energy Corporation (AMEX:RKE) reported a net loss of $4.2 million for the year ended December 31, 2005, or a $2.58 net loss per common share, diluted, compared to net earnings of $3.5 million, or $2.21 per common share, diluted, for the year ended December 31, 2004. Purchased power increased in 2005 because of an increase in the price of fuel from suppliers, as well as increased kWh sales. Operations and maintenance expense increased in 2005 compared to 2004 because of increases in salaries and benefits, vehicle costs and outsourced and professional services. General and administrative expenses increased in 2005 compared to 2004 because of increased legal and settlement costs, penalties related to Notice of Violations from the Public Utility Commission of Texas, fees related to the transaction described below, professional services, bad debt expense, outsourced IT support and related functions. On November 4, 2005, Cap Rock Energy entered into an agreement and plan of share exchange with Cap Rock Holding Corporation. Subject to the terms and conditions set forth in the agreement, Cap Rock Holding Corporation will acquire all the outstanding shares of Cap Rock Energy common stock for $21.75 per share. On March 10, 2006, the shareholders of Cap Rock Energy approved the agreement and plan of share exchange.
