NOTICE

TO THE HOLDERS OF THOSE OF THE

EURO 300,000,000 FIXED/FLOATING RATE PERPETUAL SUBORDINATED BONDS CALLABLE AT 11 APRIL 2016 PRESENTLY OUTSTANDING OF THE INSURANCE COMPANY (THE NOTEHOLDERS AND THE NOTES, RESPECTIVELY)

IRREVOCABLE NOTICE IS HEREBY GIVEN to the holder of the above Notes that, in accordance with Condition 7.3 of the Notes the Insurance Company has elected to redeem all of the outstanding Notes on 11 April 2016 (the Reset Date) at their principal amounts together with any accrued interest and Arrears of Interest and all corresponding Additional Interest Amounts according to the Conditions.

Approval for redeeming the Notes was given by Finanstilsynet (former Kredittilsynet)

27 January 2016.

According to condition 3 in the Summary of Provisions Relating to the Notes While Represented by the Global Notes, in the Prospectus page 27, and as all of the Notes are represented by the Global Notes and such Global Notes are held on behalf of Euroclear and/or Clearstream, Luxembourg, this Notice to the Noteholders is given by notice to Euroclear and/or Clearstream only.
