NOTICE

TO THE HOLDERS OF THOSE OF THE

JPY 9,500,000,000 PERPETUAL SUBORDINATED STEP-UP BONDS CALLABLE AT 30 OCTOBER 2017 PRESENTLY OUTSTANDING OF THE INSURANCE COMPANY (THE BONDHOLDERS AND THE BONDS, RESPECTIVELY)

IRREVOCABLE NOTICE IS HEREBY GIVEN to the holder of the above Bonds that, in accordance with Condition 5.2 of the Bonds the Insurance Company has elected to redeem all of the outstanding Bonds on 30 October 2017 (the Adjustment Date) at their principal amounts together with any accrued interest and Arrears of Interest and all corresponding Additional Interest Amounts according to the Conditions.

Approval for redeeming the Notes was given by Finanstilsynet on 13 June 2017.

According to paragraph 5 of the Global Bond, and as all of the Bonds are represented by the permanent Global Bond and such Global Bond is held on behalf of Euroclear and/or Clearstream, Luxembourg, this Notice to the Bondholders is given by notice to Euroclear and/or Clearstream only.
