ANNOUNCEMENT OF PLACING BY GRAFTON GROUP PLC

Grafton Group plc, the building materials and DIY Group, announces that it has
today placed 800,000 Ordinary Shares with a nominal value of EUR 0.50 each
with institutional investors at EUR 19.40 per share.   Application has been
made to the Irish Stock Exchange and the London Stock Exchange for these
shares to be admitted to the Official Lists.  The shares rank pari passu in
all respects with existing shares.  The placing has raised EUR 15,520,000 (c.
IR#12.2 million).

The additional finance will supplement the Group's strong cashflow in
continuing the expansion of its business.  

Commenting on today's announcement, Mr. Michael Chadwick, Executive Chairman,
Grafton Group Plc, said:  "We continue to show good growth in sales and
profitability.  The additional capital which we have raised will facilitate
further organic growth and enable the Company to continue to take advantage of
suitable acquisition opportunities as they may arise".
