JAPAN DEVELOPMENT BANK

Japan Development Bank ("JDB") and Hokkaido-Tohoku Development Finance
Public Corporation, which is also known as North East Finance of Japan ("NEF"),
each being a governmental financial institution, are to be consolidated into one
governmental financial institution which is to be known as Development Bank of
Japan ("DBJ").  Pursuant to the Development Bank of Japan Law (Law No. 73 of
1999) (the "DBJ Law"), DBJ shall be established on 1st October, 1999, and JDB
and NEF shall be dissolved at the time of establishment of DBJ.

Pursuant to the consolidation, all the rights and obligations of JDB and of NEF
shall be assumed by DBJ at the time of establishment of DBJ, and with effect
from 1st October, 1999 the Bonds and Notes will constitute obligations of DBJ.

Pursuant to Paragraph 2. Article 8 of the Supplementary Provisions of the DBJ
Law and Paragraph 5. Article 43 of the DBJ Law, after the time of establishment
of DBJ each holder of the Bonds and Notes shall, with respect to the property of
DBJ, have the right to have his claim satisfied in preference to other
creditors.

Pursuant to Paragraph 1, Article 8 of the Supplementary Provisions of the DBJ
Law, the guarantee contracts made by the Japanese Government with respect to
obligations under the Bonds and Notes shall continue to exist with the same
conditions with respect to such obligations even after such assumption.
