NOTICE OF GUARANTOR RESIGNATION

EUR500,000,000 2.375% Notes due 2024 (XS1145750037) (the Notes)

This Guarantor resignation notice is delivered to you in accordance with Condition 3.3 (Resignation of Guarantors) and Condition 16 (Notices) of the terms and conditions of the Notes (the Terms and Conditions) as set out in Schedule 1 of the trust deed appended to the fifth supplemental trust deed dated 19 September 2014 (and as further amended or supplemented from time to time, the Trust Deed) and made between, the Company, the various subsidiaries of Urenco Limited named therein as guarantors (the Guarantors) and Citicorp Trustee Company Limited (the Trustee).

Terms defined in the Trust Deed shall have the same meaning in this Guarantor resignation notice unless given a different meaning herein.

Pursuant to Condition 3.3 (Resignation of Guarantors) and Condition 16 (Notices) of the Terms and Conditions, the Issuer hereby notifies the Noteholders of the resignation and release of Urenco USA Inc. and Urenco Enrichment Company Limited as Guarantors under the Trust Deed but without prejudice to any obligations which may have accrued prior to such release.

The Issuer gave written notice to the Trustee of such resignation on 21 October 2021 specifying 27 October 2021 as the Guarantee End Date. On the Guarantee End Date, Urenco USA Inc. and Urenco Enrichment Company Limited were automatically released from all of their respective obligations under such Guarantees and will have no further obligations in respect of any amount due under any Notes.
