    Publication of US MTN Programme Supplementary Prospectus 


    The Prospectus in relation to the Programme for the Issuance of Medium Term Notes due Nine Months or more from Date of Issue (" the
USMTN Programme") of HBOS plc and Bank of Scotland plc as issuers dated 13 May 2008, was published on 14 May 2008 (Regulatory Announcement
number 4048U).

    The Prospectus constitutes the base prospectus for the purposes of the Prospectus Directive (Directive 2003/71/EC ("Prospectus
Directive")). 

    A supplement ( the "Supplement") to the Prospectus has been approved by the UK Listing Authority on 29 September 2008 and is available
for viewing.

    The Supplement is supplemental to and should be read and construed in conjunction with, the Prospectus and any other supplements to the
Prospectus.
