Announcement of Forward Purchase Agreement

Moat Homes Finance plc

Further issue of 5 per cent. Secured Bonds due 2041 (to be consolidated and form a single series with the GBP150,000,000 5 per cent. Secured Bonds due 2041)

Moat Homes Finance plc has today executed a Forward Purchase Agreement in connection with the issue of an additional GBP100 million in principal amount of its 5 per cent. Secured Bonds due 2041 (the "New Bonds"). The issue of New Bonds has been priced at 2.58 per cent. It is expected that the proceeds, including an amount representing accrued interest, will be received on 8 November 2019. Moat Homes Finance plc also intends to issue a further amount of up to GBP50,000,000 of its 5 per cent. Secured Bonds due 2041 on the same date which will be immediately repurchased and held for future sale.
