    Amendment of the Series Prospectus:
    

    The Issuer hereby wishes to announce the following changes to the Notes. The terms of the Notes have been amended by:
    

    (1)    amending the definition of "Collateral" such that the Collateral comprises of (i) the Zero Coupon Collateral, (ii) the Floating
Rate Collateral and (iii) the Cash Collateral; and
    

    (2)    removing all provisions of and references to, and related to, the Swap Agreement contained therein,
    

    both as further described in the Amended and Restated Series Prospectus available for viewing at the office of the Issuing and Paying
Agent. 
    

    Noteholders' consent has been granted for such amendments. These amendments are effective as of 2 September 2008. Capitalised terms used
but not defined herein shall have the meaning given to them in the Amended and Restated Series Prospectus.
