Publication of Amended and Restated Final Terms

Royal Bank of Canada issued GBP1,250,000,000 Floating Rate Covered Bonds due July 13, 2026, Series CB61 on July 13 , 2021 under Final Terms dated July 9, 2021 (the "Covered Bonds") pursuant to the EUR60,000,000,000 Global Covered Bond Programme of Royal Bank of Canada, unconditionally and irrevocably guaranteed as to payments by RBC Covered Bond Guarantor Limited Partnership (the "Programme").

The following document constitutes the Amended and Restated Final Terms dated December 21, 2021, (the "Amended and Restated Final Terms") relating to the issue of the Covered Bonds for purpose of Article 8 of Regulation (EU) 2017/1129 and as it forms part of domestic law of the United Kingdom by virtue of the European Union (Withdrawal) Act 2018 (EUWA) and must be read in conjunction with the Prospectus dated July 24, 2020 , as supplemented by the 1(st) Supplementary Prospectus dated September 2, 2020, the 2(nd) Supplementary Prospectus dated January 18, 2021, the 3(rd) Supplementary Prospectus dated March 12, 2021 and the 4(th) Supplementary Prospectus dated June 2, 2021 relating to the Programme (together, the "Prospectus"). Full information on Royal Bank of Canada and the offer of the Covered Bonds is only available on the basis of the combination of the Amended and Restated Final Terms and the Prospectus.

The Amended and Restated Final Terms have been submitted to the National Storage Mechanism and will shortly be available for inspection at: https://data.fca.org.uk/#/nsm/nationalstoragemechanism.
