                       RODINHEIGHTS PLC ("RODINHEIGHTS")
         RECOMMENDED CASH OFFER FOR GREEN PROPERTY PLC ("GREEN")
                              OFFER CLOSED

The board of Rodinheights announced on August 21, 2002 that it had issued
notices under Section 204 of the Companies Act, 1963 to those Green Shareholders
who had not already accepted the Offer, informing them that it intended to
exercise its rights to acquire compulsorily all the Green Shares outstanding at
the expiry of the requisite notice period.

The notice period has expired and, accordingly, Rodinheights has exercised its
rights. As a result, Rodinheights will own 100 per cent. of the issued share
capital of Green. The Offer is now closed.

Rodinheights confirms that the listings of Green Shares were cancelled on
September 20, 2002.

Terms defined in the Offer Document have the same meaning in this announcement.
Rodinheights reserves all of its rights under the Offer.
