NOTIFICATION OF INTEREST: COMPANIES ACT 1985 s. 329

The independent trustee of the Barclays Group (PSP and ESOS) Employees'
Benefit Trust, (the "trust") has today notified the Company that, on 22
September 1997 it purchased 4,432 ordinary shares in Barclays PLC at a price
of #15.41 per share.

The trust is a discretionary trust for the benefit of employees and former
employees (and, in each case, their families) of Barclays Bank PLC and its
subsidiaries.

Following this transaction, the trustees of all the Barclays Group employees'
benefit trusts hold a total of 6,542,379 ordinary shares of Barclays PLC in
which the above directors of Barclays PLC, together with other executive
directors and senior executives, have an interest as potential beneficiaries.
