   Notification of directors' interests : Companies Act s329

The following directors notified the Company on 9 October 1997
that on 2 October 1997 they received ordinary shares in the
Company by way of the share dividend scheme at a price of
1403.5p per share.  The number of shares received by each,
together with their beneficial interests following the
allotments, are as follows:

The independent trustee of the Barclays Group (ESAS)
Employees' Benefit Trust (the "Trust") has today notified the
company that it has received 63,279 ordinary shares in the
Company by way of the share dividend scheme.  The Trust is a
discretionary trust for the benefit of employees and former
employees (and, in each case, their families) of Barclays Bank
PLC and its subsidiaries.  Mr Stocken has an interest as a
potential beneficiary, together with other directors and
senior executives, in a total of 6,578,506 ordinary shares in
Barclays PLC held by the Group's various Employee Benefit
Trusts.
