   Notification of directors' interests : Companies Act s329

The following directors notified the Company on 13 May 1998
that on 5 May 1998 they received ordinary shares in the
Company by way of the share dividend reinvestment plan for the
1997 final dividend at a price of 1795p per share.  The number
of shares received by each, together with their beneficial
interests following the allotments, are as follows:

Mr Stocken also has a non-beneficial interest in 24,600
ordinary shares.

The independent trustee of the Barclays Group (ESAS)
Employees' Benefit Trust (the "Trust") has today notified the
company that it has purchased 57,929 ordinary shares in the
Company on 12 May 1998 at a price of 1771.52p per share.  The
Trust is a discretionary trust for the benefit of employees
and former employees (and, in each case, their families) of
Barclays Bank PLC and its subsidiaries.  Mr Stocken has an
interest as a potential beneficiary, together with other
directors and senior executives, in a total of 7,681,228
ordinary shares in Barclays PLC held by the Group's various
Employee Benefit Trusts.
