    Notification of directors' interests : Companies Act s329

The independent trustee of the Barclays Group (PSP) Employees'
Benefit Trust notified the Company on 12 June that it released
4,952 ordinary shares on 5 June and 3,438 ordinary shares on
12 June to two participants in the Company's Performance Share
Plan on the exercise of their options under the Plan.  Under
the rules of the Plan, approved by shareholders at the 1996
Annual General Meeting, there is a nominal consideration of #1
paid on each exercise.

The independent trustee of the Barclays Group (ESAS)
Employees' Benefit Trust notified the Company on 17 June that
it received 23,716 ordinary shares in the Company on 5 May
1998 by way of the share dividend reinvestment plan for the
1997 final dividend at a price of 1795p per share.

The Barclays Group employees' benefit trusts are discretionary
trusts for the benefit of employees and former employees (and,
in each case, their families) of Barclays Bank PLC and its
subsidiaries.  Following these transactions, the trustees of
all the Barclays Group employees' benefit trusts hold a total
of 7,743,689 shares in Barclays PLC in which the following
directors of Barclays PLC have an interest as potential
beneficiaries: Mr A R F Buxton, Mr W J Gordon, Sir Andrew
Large, Mr C Lendrum, Sir Peter Middleton, Mr O H J Stocken, Mr
J M Taylor and Mr J S Varley.
