   Notification of directors' interests : Companies Act s329

The independent trustee of the Barclays Group (PSP & ESOS)
Employees' Benefit Trust notified the Company yesterday that
it released 5,055 ordinary shares on 19 August to a
participant in the Company's Performance Share Plan on the
exercise of their option under the Plan.  Under the rules of
the Plan, approved by shareholders at the 1996 Annual General
Meeting, there is a nominal consideration of #1 paid on each
exercise.

The Barclays Group employees' benefit trusts are discretionary
trusts for the benefit of employees and former employees (and,
in each case, their families) of Barclays Bank PLC and its
subsidiaries.  Following this transaction, the trustees of all
the Barclays Group employees' benefit trusts hold a total of
8,029,165 shares in Barclays PLC in which the following
directors of Barclays PLC have an interest as potential
beneficiaries: Mr A R F Buxton, Mr W J Gordon, Sir Andrew
Large, Mr C Lendrum, Sir Peter Middleton, Mr O H J Stocken, Mr
J M Taylor and Mr J S Varley.
