          Notification of directors' interests : Companies Act s329

The independent trustee of the Barclays Group (PSP & ESOS) Employees'
Benefit Trust notified the Company on 18 September that it released 1,389
ordinary shares on 18 September 1998 to a participant in the Company's
Performance Share Plan on the exercise of the options under the Plan.  Under
the rules of the Plan, approved by shareholders at the 1996 Annual General
Meeting, there is a nominal consideration of #1 paid on each exercise.

The Barclays Group employees' benefit trust is a discretionary trust for the
benefit of employees and former employees (and, in each case, their
families) of Barclays Bank PLC and its subsidiaries.  Following this
transaction, the trustees of all the Barclays Group employees' benefit
trusts hold a total of 8,071,373 shares in Barclays PLC in which the
following directors of Barclays PLC have an interest as potential
beneficiaries: Mr A R F Buxton, Mr W J Gordon, Sir Andrew Large, Mr C J
Lendrum, Sir Peter Middleton, Mr O H J Stocken, Mr J M Taylor and Mr J S
Varley.
