   NOTIFICATION OF INTEREST:  COMPANIES ACT 1985 s.329

The trustees of the Barclays Qualifying Employee Share
Ownership Trust (the "Quest") notified the Company today
that they subscribed for a total of 6,057,450 Barclays
PLC ordinary shares today at a price of 1296p per share.
Following this transaction, the trustees of the Quest
held a total of 6,057,450 Barclays PLC ordinary shares in
which the following directors of Barclays PLC had an
interest as potential beneficiaries: Mr A R F Buxton, Sir
Andrew Large, Mr C Lendrum, Mr O H J Stocken, Mr J M
Taylor and Mr J S Varley.  (The Quest is a trust
established to distribute shares to employees of the
Barclays Group on the exercise of options granted under
the Barclays PLC 1991 SAYE Share Option Scheme (the
"Scheme")).

The trustees of the Quest also notified the Company today
that they had transferred 6,057,450 Barclays PLC ordinary
shares today to participants in the Scheme following the
exercise of their options.  Following this transaction,
each of the directors listed above ceased to have an
interest in such shares, except for Mr A R F Buxton who
notified the Company today of the exercise of an option
under the Scheme to purchase 1,243 Barclays PLC ordinary
shares at a price of 362p per share.  The trustees have
transferred these shares to him today.

Following this announcement, Mr Buxton has a beneficial
interest in 55,562 Barclays PLC ordinary shares, and a
non-beneficial interest in 21,000 Barclays PLC ordinary
shares.

Mr Buxton also has an interest as a potential
beneficiary, together with other directors and senior
executives of Barclays PLC, in a total of 8,112,837
Barclays PLC ordinary shares held by the Barclays Group's
various Employees' Benefit Trusts.  The trusts are
discretionary trusts for the benefit of employees and
former employees (and, in each case, their families) of
Barclays Bank PLC and its subsidiaries.
