Letter to:  Company Announcements Office

On 17 November 1998, we received notification that Barclays
PLC,  through  its  subsidiary Barclays  Bank  PLC,  had  a
notifiable interest in the capital of the Company of 5.17%.

The notification states:-

     "Of  the  overall  disclosure, 58,604,828  results
     from interests acquired by Barsec Nominees Limited
     (Barsec)  as  a  result of financing  transactions
     with  a  number  of  different  customers.   These
     interests   are   not   in   respect   of   shares
     beneficially  owned by Barsec  but  arise  due  to
     Barsec  having the right to call for  delivery  of
     the   shares  (a  Companies  Act  section   208(5)
     interest).   Any  such call  would  be  offset  by
     obligations to deliver shares to third parties."

Details  of the interest together with a breakdown  between
registered  holders as required by Section  202(3)  of  the
Companies Act 1985 as notified to the Company are  set  out
on the attached schedule.
