          Notification of directors' interests: Companies Act s329
                                      
Barclays PLC was notified on 1 December 1998 that a company limited by
guarantee, in which Sir Nigel Mobbs, as a director, has a non beneficial
interest, sold 5,281 Barclays PLC ordinary shares on 11 May 1998 at a price
of 1797p per share.

Following this transaction Sir Nigel Mobbs has a non beneficial interest in
5,000 ordinary shares and a beneficial interest in 10,437 ordinary shares.

Also, the trustees of the Barclays Qualifying Employee Share Ownership Trust
(the "Quest") notified the Company on 1 December 1998 that they subscribed
for a total of 115,202 Barclays PLC ordinary shares at a price of 1316p per
share.  Following this transaction, the trustees of the Quest held a total
of 115,202 Barclays PLC ordinary shares in which the following directors of
Barclays PLC had an interest as potential beneficiaries: Mr A R F Buxton,
Sir Andrew Large, Mr C Lendrum, Sir Peter Middleton, Mr O H J Stocken, and
Mr J S Varley.  (The Quest is a trust established to distribute shares to
employees of the Barclays Group on the exercise of options granted under the
Barclays PLC 1991 SAYE Share Option Scheme (the "Scheme")).

The trustees of the Quest also notified the Company on 1 December 1998 that
they had transferred 115,202 Barclays PLC ordinary shares to participants in
the Scheme following the exercise of their options.  Following this
transaction, each of the directors listed above ceased to have an interest
in such shares.
