          Notification of directors' interests: Companies Act s329

Barclays PLC was notified on 30 November 1998, that Sir Peter Middleton
transferred 25,000 Barclays PLC ordinary shares to a discretionary trust, in
which he has a non beneficial interest, on 6 October 1998 at a price of
#4.51 per share.

Following this transaction Sir Peter Middleton has a non beneficial interest
in 25,000 ordinary shares and a beneficial interest in 28,876 ordinary
shares.

Sir Peter Middleton also has an interest as a potential beneficiary,
together with other directors and senior executives of Barclays PLC, in a
total of 8,171,912 Barclays PLC ordinary shares held by the Barclays Group's
various Employees' Benefit Trusts.  The trusts are discretionary trusts for
the benefit of employees and former employees (and, in each case, their
families) of Barclays Bank PLC and its subsidiaries.
