The Royal Bank of Scotland Group plc ("the Group") announces that, on
2 February 1999, it received notification from Barclays PLC ("Barclays") that,
through its subsidiary Barclays Bank PLC, it has a notifiable interest in
28,403,995 of the Group's ordinary shares of 25 pence, representing 3.24 per
cent of shares in this class.  The Group has been advised by Barclays that
this interest includes 13,313,440 of the Group's ordinary shares of 25 pence
(representing 1.52 per cent of shares in this class) arising from customer
financing transactions, which represents a notifiable interest in terms of
Section 208(5) of the Companies Act 1985.
