AMEC p.l.c. Notifiable Interests

We received on the 4th February 1999, a notification from Barclays PLC,
through its subsidiary Barclays Bank PLC, that they no longer have a
notifiable interest in the share capital of AMEC p.l.c.

Barclays PLC had previously notified an interest in 3.03% of the issued
ordinary share capital of AMEC p.l.c. on 15th January 1999.
