NOTIFICATION OF INTEREST: COMPANIES ACT 1985 s.329

The independent trustee of the Barclays Group (ESAS)
Employees' Benefit Trust (the "Trust") notified the
Company on 19 March, 1999 that, with effect from 18 March
1999, it had resolved to release 9,021 ordinary shares in
Barclays PLC to certain participants in the Group's
Executive Share Award Scheme.  None of the participants
to whom shares were released was a director of Barclays
PLC.  Under the rules of the Scheme there is no
consideration paid on any such release.

The Trust is a discretionary trust for the benefit of
employees and former employees (and, in each case, their
families) of Barclays Bank PLC and its subsidiaries.
Following this transaction, the trustees of all the
Barclays Group employees' benefit trusts held a total of
12,096,860 shares in Barclays PLC in which the following
directors of Barclays PLC have an interest as potential
beneficiaries: Mr A R F Buxton, Sir Andrew Large, Mr C J
Lendrum,  Sir Peter Middleton, Mr O H J Stocken, and Mr J
S Varley.
