Notification of directors' interests : Companies Act s329

The independent trustee of the Barclays Group (ESAS)
Employees' Benefit Trust notified the Company on the 29
April 1999 that it purchased a total of 42,150 ordinary
shares on 29 April 1999 at a price of #19.38 per share.
None of the shares purchased was in respect of an award
made to a director of Barclays PLC.

The trust is a discretionary trust for the benefit of
employees and former employees (and, in each case, their
families) of Barclays Bank PLC and its subsidiaries.
Following these transactions, the trustees of all the
Barclays Group employees' benefit trusts hold a total of
9,145,451 shares in Barclays PLC in which the following
directors of Barclays PLC have an interest as potential
beneficiaries: Sir Andrew Large, Mr C J Lendrum,  Sir
Peter Middleton, Mr O H J Stocken, and Mr J S Varley.
