The independent trustee of the Barclays Group (ESAS)
Employees' Benefit Trust (the "Trust") notified the
Company on 26 August 1999 that on 23 August 1999 it had 
resolved to release 762 ordinary shares in Barclays PLC 
to a participant in the Group's Executive Share Award 
Scheme.  The participant to whom shares were released 
was not a director of Barclays PLC.  Under the rules 
of the Scheme there is no consideration paid on any 
such release.

The Trust also notified the Company on 26 August 1999
that it purchased a total of 7,370 ordinary shares on 23
August 1999 at a price of 1933p per share.  None of the
shares purchased was in respect of an award made to a
director of Barclays PLC.

The Trust is a discretionary trust for the benefit of
employees and former employees (and, in each case, their
families) of Barclays Bank PLC and its subsidiaries.
Following these transactions, the trustees of all the
Barclays Group employees' benefit trusts held a total of
9,279,549 shares in Barclays PLC in which the following
directors of Barclays PLC have an interest as potential
beneficiaries: Sir Peter Middleton, Sir Andrew Large, Mr
C J Lendrum, Mr O H J Stocken and Mr J S Varley.
