Conversion between Share Classes

The amendments relate to the replacement of the term 're-designated' with 'new' shares within the second and third paragraphs highlighted below.

Conversion between Share Classes

In respect of the recent Conversion Day on 3 February 2014 and on the basis of the net asset values of the Company's Ordinary Shares as at 31 January 2014 (and using spot currency exchange rates as appropriate, in each case as at 31 January 2014), the conversion ratios, calculated in accordance with the Company's articles of incorporation are as follows:

   GBP to USD    1.658515 
   USD to GBP    0.602949

On the basis of the aggregate level of Conversion Notices received by the Company, application has been made to the UK Listing Authority for 9,650,596 new GBP Shares to be admitted to the Official List and 16,005,660 USD Shares to be delisted from the Official List.

It is expected that such admissions will be effective and that dealings in the new GBP Shares will commence on 17 February 2014.

Accordingly, the Company's issued share capital with effect from 17 February 2014 will be as follows (excluding shares held in treasury):

120,234,053 GBP Shares

58,954,641 US$ Shares

All shareholders have equal voting rights based on the number of shares held. Accordingly, following conversion (which is expected to take place on 17 February 2014) the total number of voting rights in the Company will be 179,188,694. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company under the FSA's Disclosure and Transparency Rules.
