Bullough Public Limited Company (the "Company") confirms that at an
Extraordinary General Meeting of the Company held earlier today at 30 Aylesbury
Street, London EC1R 0ER, an Ordinary Resolution was passed:


"THAT:


The disposal of all of the Company's shares in Product Procurement Services
Limited pursuant to an agreement ("the Disposal Agreement") dated 9 March 2002
between Ingleby (1463) Limited (re-named Amaryllis Limited) and the Company (a
copy of the Disposal Agreement being produced to the Meeting and signed by the
Chairman for identification) be approved and the Directors be authorised to
cause the Disposal Agreement and all matters therein and related thereto to be
completed and, at their discretion, to amend, waive, vary and/or extend any of
the terms of the Disposal Agreement and/or any document referred to therein and/
or connected therewith (including a deed of release and novation dated 9 March
2002 between (1) Trillium (Prime) Furniture Limited (2) the Company (3) Ingleby
(1463) Limited (re-named Amaryllis Limited) and (4) Product Procurement Services
Limited) in whatever way they may consider to be or become necessary and/or
desirable in connection therewith provided that these are not material."


On 23 November 2001, the Company announced that Mr Howard Marshall had been
invited to become Executive Deputy Chairman of Bullough with the intention that
he would succeed Sir Michael Pickard as Chairman at the appropriate time.


The Company confirms that Sir Michael Pickard has resigned as Chairman of
Bullough and Mr Howard Marshall has been appointed as Chairman of Bullough with
immediate effect.
