    S.P.C. LIMITED : SHARE PLACEMENT OF 7, 100, 000 SHARES

    31 October 2001 - Brierley Investments Limited ("BIL") announces that
    through its wholly owned subsidiary, Yellow Ridge Nominees Pty Ltd, it has
    agreed to subscribe for the placement of 7,100,000 shares at an issue
    price of A$0.80 per share in S.P.C. Limited. The Subscription Date under
    the Agreement is 1 November 2001. After subscription, BIL will hold
    approximately 10% of the paid-up capital of S.P.C. Limited.

    S.P.C. Limited is a company incorporated in Australia and is listed on the
    Australia Stock Exchange. The principal business of the company is the
    processing and marketing of fruit, vegetables and other food products.
