Result of Annual General Meeting

At the Annual General Meeting of the Company held today all Ordinary Resolutions, including those amending the Company's investment policy and approving the continuation of the Company as an investment company, set out in the Circular sent to shareholders dated 7 June 2011 were duly passed.

At the same Annual General Meeting, the special resolution authorising the Company to make market purchases of its own shares was also passed together with the associated approval by Independent Shareholders on a poll of the waiver from the obligation to make a general offer that would otherwise arise as a result of the exercise in full of the buyback authority.

Following the approval of the Investment Policy Proposal and the Continuation Proposal and in accordance with the commitment set out in the Circular, the Board has instructed its advisors to prepare the necessary documentation to allow shareholders to tender up to 25 per cent. of their holding at a tender price equivalent to NAV (as at the date of the tender) less costs and less two percent. In order to effect such tender it will be necessary for the Board to seek a waiver from the Takeover Panel (in the same way and for the same reasons as set out in the Circular) and it is currently expected that a notice for the necessary EGM will be sent out by the end of August. A further announcement will be made in due course.

Capitalised terms used in this announcement shall, unless the context otherwise requires, bear the meaning given to them in the Circular.
